On June 1, 2026, Veolia, a leader in environmental services, completed its acquisition of Clean Earth from Enviri Corporation for $3 billion. The transaction brings together two leading hazardous and specialized waste management firms, expanding Veolia’s portfolio of waste processing facilities, enhancing its front-end services and logistics capabilities, and strengthening its presence in fast growing industries such as retail and healthcare to allow it to offer a full range of environmental services on a nationwide basis.
A team at Econic Partners led by Founding Partners Nathan Miller and Jon Orszag were engaged by Veolia and its counsel to advise on antitrust issues in the hazardous and specialty waste industry. The team worked with counsel for both parties to evaluate the competitive effects of the transaction, including engaging with DOJ staff through numerous white papers and presentations. The transaction was cleared by DOJ without a Second Request.
The Econic team included Dr. Jason Wu, Bo Bourke, Lina Hong, Megan Sullivan, Noah Harrigan, Susu Guo, Jamie Ha, and David Cheng. The Econic team worked closely with Veolia’s outside counsel Ilene Gotts, Kevin Fodouop, and Jordan Cohen-Kaplan from Wachtell Lipton Rosen & Katz, and Clean Earth’s Counsel Barry Nigro, Kathy O’Neil, and Harrison Kummer from Fried, Frank, Harris, Shriver & Jacobson LLP, as well as Clean Earth’s economic consultants at NERA.
